Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your use of Legionis, an AI workforce platform operated by Etsion Brands Ltd ("we", "us", "Company"), a company registered in Israel. Payment processing for US customers is provided by Queskr Inc, a Delaware corporation.
By creating an account or using Legionis, you agree to these Terms. If you do not agree, do not use the service.
2. The Service
Legionis provides an AI workforce platform where you can deploy specialized AI agent teams for knowledge work across domains including product management, marketing, finance, legal, architecture, and more. The platform includes:
- AI agents powered by third-party language models (via your API keys)
- Organizational memory and context management
- Integration with external services (Google Drive, Slack, Jira, etc.)
- Team collaboration and gateway features
3. Accounts
You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately at support@legionis.ai if you suspect unauthorized access.
You must be at least 16 years old to use Legionis. By using the service, you represent that you meet this age requirement.
4. Bring Your Own Token (BYOT)
Legionis operates on a BYOT model. You provide your own API keys for AI providers (e.g., Anthropic, OpenAI). This means:
- Your keys, your costs. You are responsible for all usage charges from your AI providers. Legionis does not mark up or resell AI provider access.
- Your provider's terms apply. Your use of AI providers is subject to their terms of service and acceptable use policies, in addition to these Terms.
- Key security. We encrypt your keys at rest and use them only to process your requests. You are responsible for rotating or revoking keys if compromised.
5. Your Content
You own your content. All conversations, context entries, organizational memory, documents, and other content you create through Legionis remain your intellectual property.
Agent outputs. Content generated by AI agents in response to your prompts is your property. However, AI-generated content may be similar to content generated for other users given similar inputs. We do not claim ownership of agent outputs.
License to us. You grant us a limited license to store, process, and display your content solely to provide the service. We do not use your content to train AI models or for any purpose beyond operating Legionis for you.
6. Acceptable Use
You agree not to use Legionis to:
- Violate any applicable law or regulation.
- Generate content that is illegal, harmful, threatening, abusive, or harassing.
- Attempt to circumvent AI provider safety measures or content policies.
- Reverse-engineer, decompile, or attempt to extract the source code of the platform.
- Use automated means to access the service beyond the provided APIs.
- Resell or redistribute the service without our written consent.
- Interfere with or disrupt the service or servers.
- Impersonate others or misrepresent your affiliation with any entity.
We reserve the right to suspend or terminate accounts that violate these terms.
7. Subscriptions and Billing
Legionis offers paid subscription plans. By subscribing, you agree to pay the applicable fees as described at the time of purchase.
- Billing cycle. Subscriptions are billed monthly. Your subscription renews automatically unless cancelled before the renewal date.
- Cancellation. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial months.
- Price changes. We may change subscription prices with 30 days' notice. Continued use after the price change constitutes acceptance.
- Payment processing. Payments are processed by Stripe. US-based payment processing is handled through Queskr Inc. Your payment information is subject to Stripe's terms and privacy policy.
8. AI-Generated Content Disclaimer
Legionis uses third-party AI models to generate agent responses. You acknowledge that:
- AI outputs are not guaranteed. Agent responses may contain errors, inaccuracies, or outdated information. Always verify important information independently.
- Not professional advice. Agent outputs are not a substitute for professional legal, financial, medical, or other expert advice. Consult qualified professionals for important decisions.
- Your responsibility. You are responsible for how you use AI-generated content. We are not liable for decisions made based on agent outputs.
9. Connected Services
When you connect external services (Google Drive, OneDrive, Slack, Jira, Gmail, GitHub), you authorize Legionis to access those services on your behalf within the scope you grant. You are responsible for ensuring you have the necessary permissions to connect and use those services through Legionis.
10. Beta and Pre-Release Features
Legionis may offer beta or pre-release features. These features are provided "as is" without warranty. We may modify or discontinue beta features at any time without notice. Beta features may have additional terms that will be communicated when you opt in.
11. Intellectual Property
The Legionis platform, including its design, code, agent frameworks, logos, and documentation, is the intellectual property of Etsion Brands Ltd. These Terms do not grant you any rights to our intellectual property except the limited right to use the service as described here.
12. Limitation of Liability
To the maximum extent permitted by law:
- Legionis is provided "as is" and "as available" without warranties of any kind, whether express or implied.
- We do not warrant that the service will be uninterrupted, error-free, or secure.
- Our total liability for any claims related to the service shall not exceed the amount you paid us in the 12 months preceding the claim.
- We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
13. Indemnification
You agree to indemnify and hold harmless Etsion Brands Ltd, Queskr Inc, and their officers, directors, and employees from any claims, damages, or expenses arising from:
- Your use of the service.
- Your violation of these Terms.
- Your violation of any third-party rights.
- Content you create or share through the platform.
14. Termination
You may delete your account at any time. Upon deletion, we will remove your data in accordance with our Privacy Policy.
We may suspend or terminate your account if you violate these Terms, with or without notice depending on the severity of the violation. We will make reasonable efforts to notify you and allow you to export your data before termination, except in cases of serious abuse.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or an in-app notification at least 30 days before they take effect. Continued use of Legionis after changes take effect constitutes acceptance.
16. Governing Law
These Terms are governed by the laws of the State of Israel, without regard to conflict of law provisions. Any disputes arising from these Terms shall be resolved in the competent courts of Tel Aviv-Jaffa, Israel.
For US customers whose payments are processed by Queskr Inc, US consumer protection laws may apply to billing-related matters to the extent required by applicable law.
